1) Acceptance of Terms

By accessing our website, placing an order, subscribing to a plan, or using our services, you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the site or services.

2) Eligibility

You must be at least 18 years old to place orders or create subscriptions. If you are under 18, a parent/guardian must place the order.

3) Services Overview

Xmeals provides chef-prepared meals delivered fresh (not frozen unless explicitly stated on a specific item), sold as one-time purchases and/or recurring subscription plans, plus optional add-ons and promotions.

4) Product Information, Nutrition & No Medical Advice

  • Descriptions, ingredients, macros, and nutrition information are provided for convenience and may vary due to seasonal availability, supplier changes, and kitchen preparation.

  • Not medical advice: Xmeals does not provide medical, nutritional, or healthcare advice. Always consult a qualified professional regarding dietary needs, allergies, medical conditions, pregnancy, and medication interactions.

  • Results (energy, weight, performance) vary by individual.

5) Allergens & Dietary Preferences

  • Our meals may contain or come into contact with common allergens (including the FDA-recognized major allergens; sesame is included as a major allergen in the U.S.).

  • We cannot guarantee an allergen-free environment. Customers are responsible for reviewing ingredient information and contacting us with questions before ordering.

  • “Gluten-free,” “dairy-free,” “low-carb,” etc., are made in good faith but are not guarantees of medical suitability.

6) Food Safety & Handling (Customer Responsibility)

Upon delivery, you are responsible for:

  • Prompt refrigeration of meals.

  • Following label instructions for storage and reheating.

  • Discarding any meal left unrefrigerated beyond safe time limits.
    We are not responsible for quality or safety issues caused by improper handling after delivery.

7) Ordering & Account Information

You agree to provide accurate information (name, phone, delivery address, ZIP code, email). Incorrect details may lead to failed or delayed delivery; additional fees may apply.

8) Pricing, Taxes, Fees

  • Prices are listed in USD unless stated otherwise.

  • Applicable taxes, delivery fees, tips (if any), and service charges are shown at checkout.

  • Prices may change at any time, but changes will not affect already-paid orders.

9) Payments, Authorization & Chargebacks

  • By providing payment information, you authorize us (and our payment processors) to charge the total order amount, including recurring charges for subscriptions.

  • Unauthorized chargebacks, excessive disputes, or fraud may result in suspension of your account and future orders.

10) Subscriptions & Auto-Renewal

10.1 How subscriptions work

  • Subscription plans renew automatically at the billing frequency shown at checkout (e.g., weekly, bi-weekly, monthly).

  • You will be charged automatically unless you cancel according to Section 10.3.

10.2 Clear disclosure & consent

We present material terms (price, billing frequency, plan details, cancellation method) before purchase, and by completing checkout you provide express consent to recurring charges consistent with online subscription standards and applicable law.

10.3 Managing, pausing, canceling

You can manage your subscription through:

  • Your account dashboard (if available), and/or

  • WhatsApp / support email as listed above.

Cutoff rule: Changes (menu selections, skips, pauses, cancellations) must be made before the weekly cutoff shown in your account/checkout confirmation. Changes after cutoff apply to the next cycle.

10.4 Renewal notices (Florida compliance)

Where required by applicable law, including Florida’s automatic renewal statute for certain service contracts, we will provide renewal notifications within the legally required timeframes and with required disclosures.

Note: Florida’s statute contains specific definitions and thresholds; Xmeals aims to comply with applicable requirements based on the nature and duration of your subscription.

11) Promotions, Discounts & “Power Week”

Promotions (including Power Week: 2 free meals) are subject to:

  • Eligibility: typically new customers only (one per customer/household/payment method, unless stated).

  • Non-transferable and no cash value.

  • No stacking with other offers unless explicitly allowed.

  • We may modify, suspend, or end promotions at any time, to the extent permitted by law.

  • If you return/refund/cancel an order associated with a promo, promo value may be removed from refunds.

12) Menu Availability & Substitutions

  • Menu items are subject to availability.

  • If an item becomes unavailable, we may substitute with a comparable item (same plan style) or issue a credit at our discretion.

  • Photos are illustrative; plating/portion appearance may vary.

13) Delivery Terms

13.1 Delivery area & scheduling

Delivery availability depends on ZIP code and service zone. Delivery windows and days are shown at checkout or in your account.

13.2 Successful delivery & safe drop

  • If you choose contactless delivery, you authorize us to leave meals at your door/reception/concierge or designated safe location.

  • Once delivered to the address provided, responsibility transfers to you (including theft, weather exposure, or building access issues).

13.3 Missed deliveries & access issues

If delivery fails due to incorrect address, gated access, unresponsive recipient, or building restrictions, you may be charged redelivery fees and the order may be ineligible for refund due to perishability.

13.4 Force majeure / disruptions

Weather, traffic, road closures, vendor disruptions, or emergencies may delay delivery. We’ll communicate when possible and may offer credits at our discretion.

14) Returns, Refunds & Credits (Perishable Goods)

Because food is perishable:

  • All sales are generally final.

  • If there is an issue (wrong item, missing item, damaged packaging, quality issue), contact us within 24 hours of delivery with photos when applicable.

  • If validated, we may offer a replacement, store credit, or partial/full refund at our discretion.

  • We do not refund based on personal taste preferences.

15) Changes to Plans, Pricing, and Terms

We may update menus, plans, pricing, features, and these Terms. Updates take effect when posted (or as otherwise stated). Continued use after changes means acceptance.

16) User Content (Reviews, Photos, Testimonials)

If you submit content (reviews, photos, videos), you grant Xmeals a non-exclusive, royalty-free, worldwide license to use it for marketing and business purposes, unless you request removal in writing.

17) Intellectual Property

All website content, branding, logos, copy, graphics, and materials are owned by Xmeals or licensed to us. You may not copy, reproduce, or distribute without written permission.

18) Third-Party Services

We may use third parties (payment processors, delivery partners, analytics tools). We are not responsible for outages or acts of third parties beyond our reasonable control.

19) Privacy

Your personal information is handled according to our Privacy Policy ([link]). By using Xmeals, you consent to data practices described there.

20) Communications (Email, SMS, WhatsApp)

By providing contact details, you agree we may contact you about orders, delivery, subscription status, and service announcements. Marketing messages (if any) will include opt-out instructions where required.

21) Disclaimer of Warranties

Services and products are provided “as is” and “as available,” to the maximum extent permitted by law. We do not guarantee uninterrupted service, specific health outcomes, or that the service will meet every preference.

22) Limitation of Liability

To the maximum extent permitted by law:

  • Xmeals is not liable for indirect, incidental, consequential, special, or punitive damages.

  • Our total liability for any claim is limited to the amount you paid for the order at issue.

23) Indemnification

You agree to indemnify and hold harmless Xmeals from claims arising out of your misuse of the service, violation of these Terms, or violation of any law or third-party rights.

24) Dispute Resolution & Governing Law (Choose ONE Option)

Option A — Courts (simpler)

These Terms are governed by Florida law. Any disputes will be brought in state or federal courts located in Miami-Dade County, Florida, and you consent to jurisdiction and venue.

Option B — Arbitration + Class Action Waiver (stronger risk shield; review with counsel)

Any dispute will be resolved by binding arbitration administered by [AAA/JAMS], under its rules. You waive the right to a jury trial and to participate in class actions. Arbitration will take place in Miami-Dade County, Florida, unless otherwise required.

Note: Subscription rules and enforcement priorities have evolved; the FTC issued a “click-to-cancel” rule in 2024, but it was later vacated by the Eighth Circuit in July 2025. Even so, subscription practices remain enforceable under other laws and standards.

25) Severability

If any part of these Terms is unenforceable, the remaining provisions remain in effect.

26) Assignment

You may not assign your rights under these Terms without our consent. We may assign these Terms as part of a merger, acquisition, or asset sale.

27) Entire Agreement

These Terms, plus the Privacy Policy and any posted policies referenced at checkout, form the entire agreement between you and Xmeals.
